What's hiding in your offer letter
These clauses are in standard offer letters. Most people sign without noticing them.
Non-Compete That Follows You Everywhere
Critical RiskSection 4.2: Employee shall not engage in any competing business activity for 2 years post-termination in any state where Company operates
California bans non-competes under SB 699. If you're in CA — or moving there — this clause is unenforceable. But your employer may not tell you that. KlausClause flags it and drafts your pushback.
IP Assignment That Takes Everything
High RiskSection 7.3: All intellectual property created during employment, including personal projects, is assigned to the company
"Including personal projects" means the side project you built at home, on your own time, could belong to your employer. Ask for a carve-out before you sign.
Termination With No Severance
High RiskSection 9.1: Company may terminate employment at any time, for any reason, without notice or severance
Pure at-will, no severance floor. Standard for junior roles. If you're senior or relocating for this job, negotiate a 3-month severance minimum before accepting.
Equity Clawback on Departure
Critical RiskSection 11.4: Unvested equity is forfeited upon voluntary resignation; vested equity must be exercised within 30 days
30 days to exercise is unusually short. You may not have the cash. Some companies offer 90 days to 5 years. Worth negotiating before you accept.
